Fairfax Financial Holdings has proposed transferring its interests in Go Digit General Insurance and Go Digit Life Insurance to IDBI Bank. The proposal follows the Indian government's selection of a Fairfax subsidiary to acquire a 60.72% controlling stake in the lender. Fairfax India Holdings has separately proposed transferring its entire interest in IIFL Capital Services to expand IDBI Bank's financial services portfolio.
The proposed transfers would take place at market prices and require approvals from the Reserve Bank of India, SEBI and other regulators. The Go Digit transaction also needs clearance from the Insurance Regulatory and Development Authority of India. Fairfax's proposed acquisition of IDBI Bank carries an estimated price of Rs. 52,878 crore, or around USD 5.6 billion.
The proposed arrangement could connect IDBI Bank's customer network with Digit's insurance products and IIFL Capital's investment services. Fairfax chairman and CEO Prem Watsa said the plan would allow IDBI Bank to distribute insurance products through Digit. It would also support investment banking and wealth management services through IIFL Capital.
Go Digit CEO Kamesh Goyal said the combination could strengthen the insurer's distribution reach. “We are very excited about the prospect of combining Digit with IDBI Bank,” Goyal said. He added that the move could expand services for customers across India.
The proposed stake transfers remain subject to regulatory review and applicable laws. The IDBI Bank acquisition could also proceed without one or both asset contributions, according to the proposal details. The transfers therefore do not represent completed transactions.
Fairfax has invested in Go Digit since its early years through subsidiaries and related holding structures. Go Digit listed in May 2024 after raising Rs. 1,125 crore through a fresh share issue. In December 2025, its board approved a separate plan to merge holding company Go Digit Infoworks Services into the listed insurer.
The proposed transfers could place Digit's insurance businesses and IIFL Capital within a broader IDBI-led financial group. However, the final ownership structure depends on regulatory approvals and the completion of the related transactions.
